These Terms & Conditions („T&C") govern the use of the marketplace platform penta4plc.com. Last updated: September 2026

1. Platform Role

1.1 penta4plc.com („the Platform") is operated by Elias Schweighofer, Kalch 13, 8200 Albersdorf-Prebuch, Austria.
1.2 The Platform acts solely as an intermediary connecting buyers and independent sellers. It is not a party to any sales contract between buyer and seller.
1.3 All product listings, descriptions, prices, and availability are provided by the respective sellers. The Platform does not guarantee the accuracy, completeness, or legality of any listing.
1.4 Transactions are conducted directly between buyer and seller. The Platform facilitates the introduction but does not process payments or take title to any goods.

2. Definitions

„Platform" – penta4plc.com, operated by Elias Schweighofer.
„Buyer" – any person or entity submitting an inquiry or purchasing products via the Platform.
„Seller" – any third-party vendor listing products on the Platform.
„Platform Fee" – the commission charged to the Seller for the use of the Platform.

3. For Buyers

3.1 By submitting an inquiry through the Platform, you express interest in purchasing the listed products from the respective Seller.
3.2 The Platform forwards your inquiry to the Seller. The Seller is responsible for responding, quoting, and fulfilling the order.
3.3 Any contract for the sale of goods is concluded solely between you and the Seller. The Platform is not liable for any issues arising from the sale, including but not limited to product defects, delivery delays, or pricing errors.
3.4 Prices displayed are in USD unless otherwise stated. The Seller is responsible for all pricing information.

4. For Sellers

4.1 Sellers list products on the Platform at their own discretion and are solely responsible for the accuracy and legality of their listings.
4.2 By accepting a buyer's inquiry, the Seller enters into a direct contractual relationship with the Buyer.
4.3 The Seller agrees to pay a Platform Fee to the Platform operator for each successful transaction facilitated through the Platform. The fee structure is communicated separately.
4.4 The Platform will issue an invoice to the Seller for the Platform Fees. Payment terms are net 30 days from invoice date.
4.5 The Seller warrants that all products listed comply with applicable laws and regulations in both the United States and the European Union.

5. Platform Fee & Invoicing

5.1 The Platform Fee is a percentage of the transaction value or a fixed amount per transaction, as agreed with the Seller.
5.2 The Platform operator issues invoices to the Seller for Platform Fees. These fees are subject to applicable Austrian VAT/Sales Tax regulations.
5.3 The Seller is responsible for their own tax obligations arising from product sales.

6. Limitation of Liability

6.1 To the maximum extent permitted by applicable law, the Platform excludes all liability for any loss or damage arising from the use of the Platform or any transaction facilitated through it.
6.2 The Platform does not guarantee uninterrupted or error-free operation and reserves the right to modify or discontinue the service at any time.
6.3 Nothing in these T&C excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

7. Governing Law & Jurisdiction

7.1 These T&C are governed by the laws of the Republic of Austria, without regard to its conflict of law provisions.
7.2 For any disputes arising from these T&C, the parties submit to the exclusive jurisdiction of the courts of Graz, Austria.
7.3 Mandatory consumer protection provisions of the Buyer's country of residence remain unaffected.

8. Data Protection

The processing of personal data is governed by our Privacy Policy.

9. Modifications

The Platform reserves the right to modify these T&C at any time. Users will be notified of material changes. Continued use of the Platform after changes constitutes acceptance.
